Soroka PRO Subscription Offer

1. General; acceptance

1.1. This document (the “Offer”) is a public offer by {{COMPANY_REQUISITES}}, registered as a payer of the professional income tax (self-employed, “samozanyatiy”) under Federal Law No. 422-FZ of 27.11.2018 (the “Provider”), addressed to any individual using the “Soroka” mobile application and the soroka.4each.ru website (the “User”), to enter into a paid services agreement for the “Soroka PRO” subscription (the “Subscription”) on the terms of this Offer (Art. 437(2) of the Russian Civil Code).

1.2. Acceptance of this Offer occurs upon payment for the Subscription on the checkout page in the web account (soroka.4each.ru/app/#/plan). Before payment, the price and composition of the Subscription are displayed, and the User must give explicit consent to this Offer by checking a separate checkbox that is not selected by default.

1.3. This Offer governs the Subscription and supplements the Terms of Service; matters not covered by this Offer are governed by the Terms of Service.

1.4. Payments are accepted through the YooKassa payment service. The Provider does not store or process full bank card details of the User — they are transmitted directly to the payment service over a secure channel.

2. Subject of the Offer

2.1. The Provider grants the User access to additional features of the “Soroka” mobile application (the “PRO Features”) under a simple (non-exclusive), paid subscription for the duration of the paid period.

2.2. Access to the PRO Features is determined by the Service backend based on the User's Subscription status and does not depend on the platform (iOS, Android, web account) the User is using.

2.3. Users to whom the PRO Features listed in Section 3 were already available free of charge as of the effective date of this Offer retain free access to them indefinitely (grandfathering). This Offer does not apply to such Users unless they independently choose to purchase a paid Subscription.

3. Composition of the PRO plan

3.1. As of the publication date of this Offer, the PRO Features include:

3.2. The current composition of the PRO Features at the time of purchase is displayed on the checkout page in the web account and in the plan section of the app. The Provider may change the composition of the PRO Features under Section 9 of this Offer.

4. Price and subscription period

4.1. The Subscription is purchased for a period chosen by the User (month or year); available periods and their price in Russian rubles are determined by the Provider's current pricing plan and are displayed to the User on the checkout page before payment.

4.2. This Offer does not fix the Subscription price as a numeric value: pricing may be revised by the Provider under Section 9. The contract price is the price displayed to the User on the checkout page immediately before payment, which the User agrees to by completing the payment.

4.3. All payments are made in Russian rubles through the YooKassa payment service.

5. Setting up automatic recurring payments

5.1. When purchasing the Subscription, the User may give consent, by a separate action on the checkout page, to automatic renewal — saving the payment method with the YooKassa payment service and automatically charging the price of the next period upon expiry of the current one, without re-entering card details. Consent to automatic renewal is not enabled by default.

5.2. Before payment, the User is notified on the checkout page that the Subscription involves automatic renewal, of the frequency and amount of charges (at the rate in effect on the renewal date), and of how to disable automatic renewal.

5.3. If a renewal charge fails (expired card, insufficient funds, bank decline), the Subscription is not renewed: the PRO Features remain available until the end of the already-paid period and are discontinued afterward. A technical retry of a failed charge within a few days, if provided for by YooKassa's rules, is carried out under the consent already given by the User and does not require a new action by the User.

6. Disabling automatic recurring payments

6.1. The User may disable automatic renewal at any time — in the web account (plan section) or by writing to soroka@4each.ru.

6.2. Disabling automatic renewal does not terminate the already-paid Subscription period: the PRO Features remain available until its end, after which the Subscription is not renewed and no further charges are made.

6.3. Requests to disable automatic renewal are processed immediately. If a request is received less than 24 hours before the scheduled charge date, the upcoming charge may still be processed — the User is warned of this when disabling.

7. Cancellation and refunds

7.1. The User may cancel the Subscription at any time by writing to soroka@4each.ru, in accordance with Art. 32 of the Russian Law on Consumer Rights Protection and Art. 782 of the Russian Civil Code.

7.2. If the PRO Features were not actually provided to the User during the paid period (payment made by mistake, duplicated, or access not technically opened due to the Provider's fault), the Subscription price is refunded in full. If the PRO Features were available to the User during the paid period, payment for the already-rendered part of the service is not refundable (Art. 782(1) of the Civil Code): upon cancellation, access to the PRO Features remains available until the end of the already-paid period, with no further renewal.

7.3. Refunds for a duplicate charge, a payment error, or another breach by the Provider are made using the same payment method within 10 (ten) business days of receiving the request, subject to crediting times set by the User's bank and YooKassa's rules.

7.4. Refund requests are handled under the claims procedure set out in Section 12 of this Offer.

8. Fate of the paid period

8.1. Termination of access to the PRO Features before the end of the paid period at the Provider's initiative — other than for the User's breach of the Terms of Service or applicable law — entails a refund of the price of the unprovided part of the period under clause 7.3.

8.2. Deletion of the account by the User during the paid period terminates access to the PRO Features immediately and does not entail a refund for the remaining part of the period, except as provided in clause 7.2.

9. Changes to the PRO plan and pricing

9.1. The Provider may change the composition of the PRO Features and the price of pricing plans. A price change does not apply to a period already paid by the User; for an active automatic renewal, the User is notified of the new price before the first charge at that price and may disable automatic renewal under Section 6.

9.2. A reduction in the composition of the PRO Features does not apply to Users who received free access to the relevant features under grandfathering (clause 2.3).

10. Provider details (self-employed)

11. NPD receipt

11.1. For each Subscription payment, the Provider generates a receipt in the “Moy Nalog” app in accordance with Federal Law No. 422-FZ of 27.11.2018.

11.2. The receipt is sent to the User's e-mail or phone number provided at checkout, or made available via a link in the web account, no later than the deadline set by NPD legislation for the relevant type of payment.

11.3. If the receipt is not received within 3 (three) business days of payment, the User may request it again at soroka@4each.ru.

12. Claims procedure and governing law

12.1. This Offer is governed by the laws of the Russian Federation.

12.2. Before going to court, send a claim to soroka@4each.ru; the response term is 10 business days. Consumer-protection jurisdiction rules remain unaffected.

13. Changes to the Offer; miscellaneous

13.1. The Provider may amend this Offer. The new version is published at https://soroka.4each.ru/offer-en with its effective date and does not apply to Subscription periods paid for before its publication.

13.2. Invalidity of any provision of this Offer does not affect the validity of the remaining provisions.
